Filip & Company has provided legal assistance to Autonom Services S.A., Romania’s largest independent mobility solutions company, in relation to the conclusion of a credit facility agreement for a total amount of EUR 300 million, with an option to extend the facility up to EUR 350 million.
The transaction was structured together with a large consortium of credit institutions, in which Banca Transilvania S.A., BRD – Groupe Société Générale S.A., ING Bank N.V. Amsterdam Bucharest Branch, UniCredit Bank S.A., Raiffeisen Bank S.A., Exim Banca Românească S.A., Banca Comercială Intesa Sanpaolo Romania S.A. and Garanti Bank S.A. acted as original lenders. BRD – Groupe Société Générale S.A., Banca Transilvania S.A., ING Bank N.V. Amsterdam Bucharest Branch, UniCredit Bank S.A. and Raiffeisen Bank S.A. acted as global coordinators, and Banca Comercială Română S.A. acted as agent and security agent. The sustainability component of the financing was coordinated by BRD – Groupe Société Générale S.A. and ING Bank N.V. Amsterdam Bucharest Branch.
The financing includes an ESG component to support the environmental, social and corporate governance objectives of Autonom Services S.A., by integrating sustainable performance indicators and mechanisms that stimulate a continuous improvement of performance in these areas.
