Filip & Company Law Firm provided legal assistance to Mozaik Investments in relation to the acquisition of a majority stake in Genesis College and the conclusion of a strategic partnership with the institution’s founder, Ioana Necula. This transaction marks the beginning of a new stage of development for one of the largest private educational businesses wholly owned by Romanian capital. The closing of the transaction is conditional, among other things, upon obtaining regulatory clearances.
“Education is a field where you can really see the impact—in people, in communities, in the future. We are delighted to have been part of this project with Mozaik, which brings together capital, vision, and passion for education. Genesis is one of those entrepreneurial initiatives built with care and dedication that deserve support on their journey to the next level. The partnership with Ioana Necula is a natural continuation of what has already been solidly built, and we are convinced that, together with Mozaik, the Genesis story will continue to grow. We thank them for their trust and excellent collaboration”, has declared Andreea Bănică, counsel at Filip & Company.
The Filip & Company team that assisted Mozaik Investments on this project was coordinated by Alexandru Bîrsan (managing partner) and Andreea Bănică (counsel) and included in key roles Lavinia Cazacu (senior associate) and Paola Nardelli (associate). Competition law aspects were handled by Roxana Roșca (senior associate) and Sergiu Păun (associate).
The lawyers at Filip & Company have had important roles in many of the key M&A transactions in Romania. Whether they were privatisations, private equity, venture capital or growth capital transactions or other complex M&A, in most of the cases, at least one of the parties was legally assisted by Filip & Company. Furthermore, the Filip & Company lawyers are ranked year after year in the most prestigious international directories – Chambers and Partners and Legal 500 – with their M&A practice, both as a team as well as individually.
