Bianca is a member of our Banking & Financial Services team, focused on assisting clients in complex financial transactions, banking regulations, financial market M&A transactions and the development of innovative banking products.
Highlights of her activity include assisting:
- multiple banks and non-bank financial institutions on both domestic and EU banking regulatory matters required to implement complex projects. The assistance included advice on Romanian banking regulatory legislation, consumer protection legislation, AML and numerous other regulatory aspects applicable;
- a major Romanian bank with the preparation of the prospectus in connection with a bond issuance on the Romanian capital market, including drafting and reviewing sections of the prospectus;
- a major international company with an analysis on the applicability of the limited network exemption to their business model. The assistance included regulatory analysis and the preparation of the notification submitted to the National Bank of Romania regarding the regulatory status of the business model and the absence of licensing requirements;
- a client in connection with a complex transaction encompassing, among others, the takeover of existing receivables against a Romanian company active in the agricultural field.
