Roxana is a member of our Banking & Finance team, focused on assisting clients on both the lender and borrower side across a wide range of financing transactions, as well as in banking and financial regulatory matters. Her experience includes syndicated and bilateral lending, acquisition finance, and advising on the regulatory framework applicable to financial services and innovative banking products. She holds an LL.M. in Business Law from KU Leuven University, Belgium.
Highlights of her activity include assisting:
- international and domestic lenders and corporate borrowers in the structuring, negotiation and implementation of complex financing arrangements, including cross-border and acquisition finance transactions;
- a leading insurance brokerage firm in connection with the drafting and implementation of an international sanctions prevention methodology, including tailored compliance procedures aligned with applicable EU and Romanian regulatory requirements;
- a leading recycling company with respect to the financing and subsequent restructuring of a EUR 127,000,000 syndicated loan facility, including coordination with lenders and advisors throughout the transaction’s lifecycle;
- a syndicate of four banks consisting of Banca Transilvania, UniCredit Bank, Raiffeisen Bank and Exim Banca Românească, as arrangers and initial lenders, Banca Transilvania and UniCredit Bank as documentation agents, Banca Transilvania as facility agent, Raiffeisen Bank as collateral agent, UniCredit Bank S.p.A. and Raiffeisen Bank as sustainability agents, UniCredit Bank as Global Coordinator, in the sustainability-linked financing of EUR 110 million granted to MOOV Leasing, a Romanian digital operational leasing platform;
- a syndicate of banks, in a position of lead counsel responsible also with the coordination of the Dutch and Serbian local counsels, in relation to the refinancing of La Fantana S.R.L. through several term loans and revolving facilities with an aggregated value of EUR 70,000,000.
