Simona is part of our Corporate and M&A team, advising on corporate and regulatory matters in a large variety of transactions. Since joining Filip & Company, Simona has been involved in various projects, such as: drafting transaction documents, due diligence analyses, restructuring projects, general corporate advisory related to a wide range of business matters.
Highlights of her activity include assisting:
- a Romanian investor, very active on the Romanian market in a variety of fields, in connection with (i) specific matters that result from the client’s companies day-to-day operations, including complex advice regarding the particularities of the management structure and corporate governance rules, and (ii) in connection with the implementation of a complex structure for the outsourcing of the ancillary services of the client’s companies, including a due diligence process, transaction structuring, negotiation in connection with the potential acquisition of a Romanian company affiliated with one of the world’s 10 global retained executive search and leadership consulting organizations.
- an independent asset manager with respect to a very complex restructuring process with the purpose of acquiring several Romanian targets. Simona’s work included extensive and complex advice on corporate matters, as well as transaction structuring and drafting corporate documents.
- one of the main groups active in the electricity distribution and supply in Romania in relation to the envisaged acquisition of the distribution subsidiary of one of the most important electricity distributors in Romania. Simona was a member of the due diligence team and was also involved in drafting the transaction documents.
