Eliza’s main areas of expertise are Corporate and M&A, with diverse experience on other areas, including Capital Markets. Eliza has advised on corporate, financing and regulatory matters on some of the most complex M&A, restructurings, Capital Markets, Energy and Financing transactions on the Romanian market in recent years.
Highlights of her activity include assisting:
- an international banking group in connection with the restructuring of business operations through a cross border merger between Credit Europe Bank N.V., as absorbing company and Credit Europe Bank (Romania) S.A., as absorbed company and the simultaneous allocation of the Romanian operations to a branch of the Dutch absorbing entity;
- a highly diversified investment group and its shareholders in the initial acquisition of the rights pertaining to the Popeyes franchise in Romania and the subsequent transfer of the shares in the vehicle holding the exclusive rights to the Popeyes franchise in Romania;
- a private limited company in connection with the sale of the majority packages of shares held in EcoPaper SA and EcoPack SRL, part of a top integrated packaging and paper group in Romania, to DS Smith Plc, for €208m;
- an international home improvement company in relation to (A) the acquisition of the Romanian operations of (i) Bricostore, a leading regional operator and the number two DIY chain in Romania and of (ii) Praktiker România, one of the major home improvements and DIY retailers in the country as well as (B) on the subsequent divestment of the Romanian DIY operations to Altex Romania;
- a major player in the European chemical industry in the sale of the activities and assets pertaining to the calcined soda and sodium silicate production in Romania.
